On 9 February 2023, the Bundestag decided to facilitate the holding of online general meetings in associations. To this end, the "Act to enable digital members' meetings in association lawt" was adopted.
In future, associations will generally be allowed to hold their general meetings completely online or in hybrid form. All participants will have full voting rights.
Previously, a corresponding provision in the association's articles of association was a prerequisite for holding an online or hybrid general meeting. Thanks to the new decision by the Bundestag, associations will no longer have to amend their articles of association if they wish to hold all or part of their meeting online.
The new ยง 32 para. 2 BGB
The newly inserted Section 32 (2) BGB creates the possibility of holding a hybrid general meeting. A purely virtual general meeting should only be possible if the general meeting itself has decided to do so at a previous meeting. These provisions also apply to board meetings through a reference provision in the law (Section 28 BGB).

In future, they will first be able to convene a hybrid meeting and then decide by member resolution whether there is a desire in their own ranks for completely virtual meetings. According to the law, participation would be possible "by means of electronic communication", which, according to the coalition parties, includes video, chat, telephone or voting by email.
